1. Introduction

Welcome to RadKits. These Terms of Service ("Terms") govern your access to and use of the RadKits platform, including our website, applications, and services (collectively, the "Service").

By creating an account or using RadKits, you agree to these Terms. If you do not agree, please do not use the Service.

2. Description of Service

RadKits is an AI-powered adaptive reporting platform designed for radiology professionals. The Service provides report templates, AI-assisted report generation, a personal knowledge base, and related workflow tools.

Important: RadKits is a productivity tool. It does not provide medical advice, diagnosis, or treatment recommendations. All reports generated through RadKits must be reviewed, edited, and approved by a qualified medical professional before use.

3. Eligibility

The Service is intended for use by medical professionals, particularly radiologists. By using RadKits, you represent that you:

• Are at least 18 years of age
• Have the legal capacity to enter into these Terms
• Will use the Service in compliance with all applicable laws and professional standards

We do not verify professional credentials, but the Service is designed specifically for radiology workflows and may not be useful for other purposes.

4. Account Registration

To use RadKits, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree to use RadKits only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload, store, or transmit any patient-identifiable information or protected health information (PHI) through the Service
• Use the Service to generate reports for actual patient care without proper review and approval by a qualified professional
• Share your account credentials with others
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to transmit malware, spam, or other harmful content
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service in any way that violates applicable laws or regulations

6. Patient Data and Privacy

RadKits is not designed to store patient-identifiable information.

You are solely responsible for ensuring that any content you enter into RadKits does not contain protected health information (PHI) or personally identifiable information (PII) about patients. This includes but is not limited to:

• Patient names
• Medical record numbers
• Dates of birth
• Contact information
• Any other information that could identify an individual patient

If you inadvertently enter patient-identifiable information, you should delete it immediately using the report management features. RadKits is not liable for any PHI or PII you choose to enter into the Service.

7. Your Content

"Your Content" refers to any text, templates, knowledge base entries, reports, or other materials you create, upload, or store through the Service.

Ownership: You retain ownership of Your Content. By using the Service, you grant RadKits a limited license to store, process, and display Your Content as necessary to provide the Service.

AI Training: You also grant RadKits permission to use Your Content in anonymized and aggregated form to improve our AI models and the Service. We will not use any patient-identifiable information for this purpose, and we rely on your compliance with Section 6 to ensure no such information is present in Your Content.

Responsibility: You are solely responsible for Your Content and ensuring it complies with these Terms and applicable laws.

8. AI-Generated Content

RadKits uses artificial intelligence to assist with report generation and provide suggestions. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or omissions
• All AI-generated content must be reviewed and approved by a qualified professional before use
• You are solely responsible for any reports you use in your professional practice
• RadKits does not guarantee the accuracy, completeness, or suitability of AI-generated content

RadKits is a tool to assist your workflow, not a replacement for professional judgment.

9. Data Retention

• Reports and Content: We retain your reports and content until you delete them or close your account. We may also delete inactive data after an extended period (typically 3+ years of inactivity) with prior notice.
• Account Data: We retain account information for as long as your account is active and for a reasonable period afterward for legal and business purposes.
• Deletion: You may delete individual reports through the Service. To delete your entire account and associated data, contact us at support@radkits.com.

10. Beta Program

If you are participating in the RadKits beta program, you acknowledge that:

• The Service is provided "as is" and may contain bugs or errors
• Features may change, be added, or removed without notice
• Service availability is not guaranteed
• The beta program is free, but RadKits will transition to paid plans in the future
• Your feedback may be used to improve the Service

Beta participants who provide valuable feedback may receive discounted pricing when paid plans launch.

11. Subscription and Payment

During the beta period, RadKits is provided free of charge with usage limits. When paid plans are introduced:

• Pricing and plan details will be communicated in advance
• Payment terms will be specified at that time
• Continued use after the beta period will require a paid subscription

12. Intellectual Property

The Service, including its design, features, code, and branding, is owned by RadKits and protected by intellectual property laws. These Terms do not grant you any rights to use RadKits trademarks, logos, or branding.

The report templates provided by RadKits are licensed for your use within the Service. You may use the output (generated reports) in your professional practice, but you may not redistribute or sell RadKits templates or content.

13. Third-Party Services

RadKits may integrate with or link to third-party services. We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is governed by their respective terms.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• AI-generated content will be accurate or suitable for any purpose
• The Service will meet your specific requirements

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RADKITS AND ITS FOUNDERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO RADKITS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify and hold harmless RadKits and its founders, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any content you create, upload, or store through the Service

17. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion.

Upon termination:

• Your right to use the Service ends immediately
• We may delete your data after a reasonable period
• Provisions that should survive termination (such as limitations of liability) will remain in effect

20. Governing Law and Disputes

These Terms are governed by applicable laws. Any disputes arising from these Terms or your use of the Service will be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration or in the courts of competent jurisdiction.

21. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RadKits.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms. We may assign our rights and obligations without restriction.
